Terms of Service

1. Acceptance of Terms

By accessing or using UptimeGrove's website monitoring platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

UptimeGrove provides website and infrastructure monitoring services, including but not limited to uptime monitoring, API monitoring, SSL certificate monitoring, cron job monitoring, and public status pages. The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your account information remains current and accurate

4. Subscription and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. We reserve the right to modify pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle.

Free trial accounts are provided for evaluation purposes and may be subject to feature or usage limitations. We reserve the right to modify or discontinue free trials at any time.

5. Acceptable Use

You agree not to use the Service to:

  • Monitor websites or services you do not own or have authorization to monitor
  • Conduct denial-of-service attacks or generate excessive load on third-party systems
  • Violate any applicable laws, regulations, or third-party rights
  • Distribute malware, spam, or other harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Resell or redistribute the Service without our written consent

6. Service Level Agreement

UptimeGrove commits to a 99.9% platform availability for paid plans, measured on a monthly basis. If we fail to meet this commitment, affected customers may be eligible for service credits as described in our SLA documentation. The SLA does not apply to free trial accounts, scheduled maintenance windows, or circumstances beyond our reasonable control.

7. Data Ownership

You retain all rights to your data. We do not claim ownership of any monitoring data, configurations, or content you provide through the Service. We use your data solely to provide and improve the Service as described in our Privacy Policy. Upon account termination, you may export your data within 30 days.

8. Intellectual Property

The Service, including its design, features, documentation, and underlying technology, is owned by UptimeGrove and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

9. Limitation of Liability

To the maximum extent permitted by law, UptimeGrove shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we discontinue the Service with 90 days' notice. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 30 days.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New York County, New York. Both parties consent to the exclusive jurisdiction of these courts.

13. Changes to Terms

We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
